Inspectors of Election

In a publicly-traded company, a person or persons appointed to count ballots. They tabulate votes from shareholders who came to the annual meeting or other special meetings, as well as proxies, to determine that ballots were properly cast, and announce the results. Inspectors of election must not have a vested interest in the outcome, and they may not be overruled. See also: Inspector's or Judge's Certificate.
